10. ENFORCEMENT. YouacknowledgeandagreethatanybreachofSections2,4,or9ofthisAgreementbyYoumaycause

Enterasysirreparabledamageforwhichrecoveryofmoneydamageswouldbeinadequate,andthatEnterasysmaybe

entitledtoseektimelyinjunctiverelieftoprotectEnterasys’rightsunderthisAgreement

inadditiontoanyandallremedies

availableatlaw.

11. ASSIGNMENT. Youmaynotassign,transferorsublicensethisAgreementoranyofYourrightsorobligationsunderthis

Agreement,exceptthatYoumayassignthisAgreementtoanypersonorentitywhichacquiressubstantiallyallofYour

stockor

assets.EnterasysmayassignthisAgreementinitssolediscretion.ThisAgreementshallbebindinguponandinure

tothebenefitoftheparties,theirlegalrepresentatives,permittedtransferees,successorsandassignsaspermittedbythis

Agreement.Anyattemptedassignment,transferorsublicenseinviolationofthetermsofthisAgreement

shallbevoidand

abreachofthisAgreement.

12. WAIVER. AwaiverbyEnterasysofabreachofanyofthetermsandconditionsofthisAgreementmustbeinwritingand

willnotbeconstruedasawaiverofanysubsequentbreachofsuchtermorcondition.Enterasys’failureto

enforceaterm

uponYourbreachofsuchtermshallnotbeconstruedasawaiverofYourbreachorpreventenforcementonanyother

occasion.

13. SEVERABILITY. IntheeventanyprovisionofthisAgreementisfoundtobeinvalid,illegalorunenforceable,thevalidity,

legalityandenforceabilityofanyof

theremainingprovisionsshallnotinanywaybeaffectedorimpairedthereby,andthat

provisionshallbereformed,construedandenforcedtothemaximumextentpermissible.Anysuchinvalidity,illegalityor

unenforceabilityinanyjurisdictionshallnotinvalidateorrenderillegalorunenforceablesuchprovisioninanyother

jurisdiction.

14.

TERMINATION. EnterasysmayterminatethisAgreementimmediatelyuponYourbreachofanyofthetermsand

conditionsofthisAgreement.Uponanysuchtermination,YoushallimmediatelyceasealluseoftheProgramandshall

returntoEnterasystheProgramandallcopiesoftheProgram.
